xNova.digital is a trade name under which we provide web development, mobile app development, AI integrations, and digital transformation services. xNova.digital is not a separately registered company, LLP, or corporate entity - it is operated by an independent individual/team, and any agreement you enter into is with that operator directly, trading as "xNova.digital." References to "Client" mean any individual or organization that engages us for services, whether through a signed proposal, statement of work, or written agreement.

2. Use of the Site

You may browse the Site and submit inquiries (contact forms, job applications) for lawful purposes only. You agree not to:

• Use the Site to transmit unlawful, harmful, or infringing content.
• Attempt to gain unauthorized access to our systems or interfere with the Site's operation.
• Scrape, harvest, or reproduce Site content without our written permission.

3. Services and Engagements

Any specific project - scope, timeline, deliverables, and pricing - is governed by a separate signed proposal or statement of work. These Terms apply generally to the Site and, where not superseded by a signed agreement, to our services as well.

4. Intellectual Property

Unless otherwise agreed in writing:

• All content on this Site - including text, graphics, logos, and design - belongs to xNova.digital and is protected by applicable intellectual property laws.
• Upon full payment for a completed project, ownership of the final agreed-upon deliverables transfers to the Client, excluding any pre-existing tools, frameworks, or proprietary components we retain the right to reuse across projects.

5. Payment Terms

Unless stated otherwise in a signed proposal, invoices are due within the period specified on the invoice. Late payments may result in paused work or suspended access to deliverables until the account is settled. Invoices are issued by the individual operating xNova.digital, not by a separately incorporated company.

6. Confidentiality

We treat Client project information as confidential and will not disclose it to third parties except as required to deliver the engaged services or as required by law.

7. Limitation of Liability

To the maximum extent permitted by law, xNova.digital and its operator shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Site or our services. Total liability for any claim arising from a services engagement is limited to the fees paid by the Client for the specific engagement giving rise to the claim.

8. Third-Party Links

The Site may link to third-party websites. We are not responsible for the content or practices of those sites.

9. Termination

We reserve the right to suspend or terminate access to the Site for any user who violates these Terms. Termination of a services engagement is governed by the applicable signed agreement.

10. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles.
